WALI SOFTWARE SERVICE AGREEMENT

(Terms and Conditions of Use)

Welcome to Wali Software. This Software Service Agreement (hereinafter referred to as the “Agreement”) sets forth the legal obligations and conditions between you (hereinafter referred to as the “Client”) and Wali Software (hereinafter referred to as the “Provider”) regarding your use of the Services defined herein.

BY CREATING AN ACCOUNT AND/OR INSTALLING, USING THE SOFTWARE, THE CLIENT ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

1. Nature of Service & Right to Use

  • 1.1. Scope of Service: Wali Software provides software application solutions operating on Windows or macOS operating systems, including features for: managing multiple user accounts on websites, creating and managing proxy systems, and cross-website traffic interaction software.
  • 1.2. Grant of Limited Right: The Provider grants the Client a limited, non-exclusive, non-transferable, and non-sublicensable right to install and use the Service solely for the Client’s internal business operations.
  • 1.3. Confidentiality of Commercial Negotiations: All information exchanged, negotiated, or separately agreed upon between the Provider and the Client must be kept strictly confidential. The Client shall not disclose such contents to any third party. The Provider reserves the right to unilaterally terminate the agreement immediately without prior notice if the Client is found to have violated this provision.

2. Refund Policy & Service Outage Compensation

  • 2.1. Refund Conditions:
    • The Client is only entitled to request a refund in the event of a system technical error arising from the manufacturer (Wali Software) that the technical team fails to remedy or resolve within 48 hours from the time the error report is received.
    • The internal processing time for refunds is 05 business days. The funds will be credited back to the Client’s account within 03 to 14 days, depending on the processing procedures of financial institutions or third parties.
    • The Provider reserves the right to refuse refund requests for any transactions paid via cryptocurrency.
  • 2.2. Service Outage Compensation:
    • The compensation policy only applies to network outages or system failures directly attributable to Wali Software’s fault and excluding scheduled maintenance windows notified in advance.
    • Form of Compensation: The system will compensate the Client by crediting additional usage time to their account. The credited time shall be equal to or greater than the actual downtime experienced, subject to the sole discretion of the Wali Software management.
    • Claims Procedure: Compensation claims must be sent to the email address support@walisoftware.com within 14 days from the date of the incident. The email must provide full information including: Account ID, date and time of the system error, a detailed description of the incident, and the Client’s contact details.

3. Intellectual Property Rights & Confidential Information

  • 3.1. Intellectual Property Rights: All ownership, copyrights, and other intellectual property rights relating to the Service and the Software (including but not limited to: source code, data structures, algorithms, interfaces, trademarks, logos, and accompanying documentation) are the exclusive property of Wali Software. The Client is strictly prohibited from performing, or permitting any third party to perform, the following actions: copying, modifying, decompiling, reverse engineering, or redistributing the software in any form or media.
  • 3.2. Non-Disclosure Agreement (NDA): The Client is responsible for maintaining the strict confidentiality of all information regarding the technical structure, financial models, and internal operational processes of Wali Software accessed during the use of the service. This confidentiality obligation is unconditional and shall survive for 05 years following the termination of this Agreement.

4. Payment & Renewal Regulations

  • 4.1. Trial Period: The Client is provided with a free trial period of 01 day to experience the software features.
  • 4.2. Billing Cycle: Official service subscription fees will commence and be deducted on the first day of the following month after the trial period ends or when the client upgrades to a paid plan. The Client may select a billing cycle of either **annually** or purchase a **lifetime** right of use.
  • 4.3. Renewal Regulation: This Agreement and the service plan **do not** automatically renew upon expiration. The Client must proactively initiate renewals to continue utilizing the service.
  • 4.4. Payment Methods: The Client shall pay for the service fees through the official payment gateways and methods provided and displayed directly on the Wali Software website.

5. Limitation of Liability & Disclaimer

  • 5.1. Service Status: The Service is provided on an “As Is” and “As Available” basis. Wali Software does not warrant that the service will operate completely uninterrupted or entirely free of minor technical errors. The Provider reserves the full right to halt, suspend, or refuse service to any individual or entity at any time without being required to provide an explanation.
  • 5.2. Limitation of Remedy: In any event where legal liability arises from a system failure on the part of Wali Software, the maximum aggregate liability of Wali Software to the Client shall not exceed the total actual amount paid by such Client to Wali Software within the 12 consecutive months immediately preceding the date of the incident.
  • 5.3. Legal Disclaimer: Wali Software is fully disclaimed from any liability in the event that the Client uses the software, proxy systems, or features released by us for any purposes that violate the current laws of the Client’s local country or international laws. The Client shall bear sole and full legal responsibility for any misuse, unauthorized use, or damage caused to third parties.
  • 5.4. Cooperation with Regulatory Authorities and Information Disclosure: Wali Software is committed to respecting the Client’s privacy. However, in the event of a lawful written request from competent government authorities (including but not limited to: Investigative Agencies, Courts, Procuracies, or specialized regulatory bodies), Wali Software reserves the right and obligation to disclose relevant Client information, service usage history, and system data without prior notice to or consent from the Client. Such action shall not be deemed a breach of the Confidentiality (NDA) provisions set forth in this Agreement.

6. Miscellaneous Provisions

  • 6.1. Amendments to the Agreement: Wali Software reserves the right to modify, supplement, or replace the terms of this Agreement at any time without prior notice to the Client, in compliance with applicable laws. The latest updated version shall become effective immediately upon being posted on the official website.
  • 6.2. Acknowledgment and Acceptance: The Client’s action of registering an account, making a payment, or using the Software in any manner serves as conclusive legal evidence that the Client has read, understood, and agreed to comply with all contents of this Agreement.
